Terms of Service

Effective date: July 24, 2026  ·  Applies to: shepherddigital.net and Shepherd Digital mobile apps

This is a general-purpose starting template. It doesn't include an arbitration clause or class-action waiver — those carry real tradeoffs and should be drafted (or deliberately omitted) with a licensed attorney, along with a review of the whole document before it governs a live product.

1. Acceptance of terms

These Terms of Service ("Terms") are a legal agreement between you and Shepherd Digital LLC ("Shepherd Digital," "we," "us," or "our") governing your use of shepherddigital.net and our mobile apps (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you don't agree, don't use the Services.

2. Eligibility

You must be at least 13 years old to use the Services. If you're under the age of majority in your jurisdiction, you may only use the Services with the involvement of a parent or legal guardian, to the extent required by local law.

3. Accounts & security

  • Some features require an account, created using an emailed one-time passcode rather than a traditional password.
  • You're responsible for maintaining access to the email address associated with your account and for all activity under your account.
  • You can revoke a trusted device at any time from your profile settings; trusted-device status also expires automatically after a period of inactivity.
  • Notify us promptly at info@shepherddigital.net if you suspect unauthorized access to your account.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or related systems;
  • Reverse-engineer, decompile, or disassemble the Services except as permitted by law;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Use automated means to access the Services without our prior written permission;
  • Misrepresent your identity or impersonate any person or entity.

5. Intellectual property

The Services, including their design, text, graphics, logos, and underlying software, are owned by Shepherd Digital LLC or our licensors and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended personal purpose. All rights not expressly granted are reserved.

6. Third-party platforms (App Store & Google Play)

If you download an app from Apple's App Store or Google Play, the following applies in addition to these Terms:

  • This agreement is between you and Shepherd Digital LLC, not with Apple or Google, and Apple/Google are not responsible for the app or its content.
  • The license to use the app is limited to a non-transferable license to use it on an Apple-branded or Android device that you own or control, as permitted by that platform's usage rules.
  • Apple and Google have no obligation to furnish any maintenance or support services for the app.
  • Apple and Google are not responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection or similar claims.
  • Apple and Google are third-party beneficiaries of this agreement and, upon your acceptance, will have the right to enforce it against you.

7. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or completely secure.

8. Limitation of liability

To the maximum extent permitted by law, Shepherd Digital LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services is limited to the greater of $100 or the amount you paid us, if any, in the twelve months before the claim arose. Some jurisdictions don't allow these limitations, so they may not fully apply to you.

9. Indemnification

You agree to indemnify and hold harmless Shepherd Digital LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. You may stop using the Services and, where applicable, request deletion of your account at any time by contacting us.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where local consumer-protection law requires otherwise for users outside the U.S.

12. Dispute resolution

If a dispute arises, we encourage you to contact us first at info@shepherddigital.net so we can try to resolve it informally. Any legal action not resolved informally will be brought in a court of competent jurisdiction in the State of Delaware or the State of New Jersey, and you consent to personal jurisdiction there, except where applicable law requires disputes to be handled in your local jurisdiction.

13. Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date above and, where required, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
